Terms & Conditions (Rock Solid Systems)

These Terms & Conditions (“Terms”) apply to your access to and use of www.rocksolidsystems.com.au (the “Website”) and any products or services provided by Rock Solid Systems (“we”, “us”, “our”). By using our Website, purchasing services, or opting in to communications (including SMS), you agree to these Terms.
1) Website Use
You agree to use this Website and our services lawfully and not to:
misuse, disrupt, hack, scrape, or attempt to access non-public systems
upload or transmit malicious code
use our content, branding, or materials without permission
use our services to harass, spam, or send illegal/offensive communications
We may suspend or block access if we reasonably believe your use breaches these Terms or applicable laws.
2) Services
We provide digital marketing systems and services which may include (depending on your plan): websites, CRM access, automations, business phone services, messaging, review tools, remarketing, local SEO, and advertising support/management.
Specific inclusions, deliverables, timelines, and responsibilities may be described on the Website, at checkout, in onboarding documentation, or confirmed in writing via email/message.
3) Plans & Pricing
Plan pricing and inclusions will be as discussed and agreed between you and Rock Solid Systems (including any written proposal, checkout summary, invoice, or email confirmation). Where there is a conflict, written confirmation from us will take priority.
4) Billing, Auto-Renewal & Usage Charges
Subscriptions are billed in advance and may auto-renew until cancelled (unless otherwise agreed in writing). Payments are processed via Stripe (or another nominated processor).
Some services may include usage-based / rebillable charges (e.g., phone numbers, SMS/MMS, voice calls, carrier fees, number intelligence). These may be charged via a wallet/top-up system or billed in arrears depending on your setup and usage.
You acknowledge that third-party provider rates may change over time.
5) Late Payments & Suspension
If a payment fails or invoices remain overdue, we may pause/suspend access to services (including the Website, automations, messaging, phone services, CRM access, and related systems) until all outstanding amounts are paid. We are not responsible for any loss arising from suspension due to non-payment.
6) No Refunds
All payments are final and non-refundable, including subscription fees, setup work, and any usage-based charges, unless required otherwise by applicable consumer law.
You acknowledge our services are custom-built and/or initiated immediately, and value is delivered through configuration, access, and ongoing availability.
7) Chargebacks & Disputes
You agree not to initiate chargebacks for services rendered or access provided. If a chargeback is raised, we may submit evidence including acceptance of these Terms, access logs, onboarding records, delivery notes, and communications.
If a chargeback is filed fraudulently or in breach of these Terms, you may be liable for the disputed amount plus reasonable recovery, admin, legal, or collection costs.
8) Cancellation
You may cancel at any time. Unless otherwise stated in writing, cancellation takes effect at the end of the current billing period, and no future subscription charges will be made after that.
If you have prepaid a fixed term, early cancellation does not create a refund for unused time.
9) Website & Domain Transfer on Cancellation (14-Day Window)
If you cancel your services:
Access period: You will have 14 days from the cancellation effective date to duplicate/copy your website information from the live site and arrange replacement hosting elsewhere.
Domain transfer: If you wish to transfer your domain away, we will assist with the transfer process where reasonably possible. A one-off domain transfer administration fee of $99 applies.
Client responsibility & costs: You are responsible for establishing hosting, email, DNS, and any related services with your chosen provider. All transfer costs, hosting costs, developer costs, and third-party fees are at your expense.
After 14 days: After the 14-day period, we may remove/disable the website and related services, and we do not guarantee continued access, availability, or recoverability of website files/content.
Important: Some components (e.g., premium themes, licensed plugins, platform-specific automations, forms, CRM pipelines, call tracking, SMS workflows) may not be transferable as-is due to licensing or third-party system limitations.
10) Delivery / Fulfilment
Services are considered delivered once we have completed the agreed deliverables such as:
the website build and/or deployment, and/or
platform access provision, and/or
core system setup and automations configuration.
Training, onboarding calls, and “how-to” support may be offered but are not conditions of fulfilment.
11) Free Trials & Promotions
We may offer trials, discounts, or promotions. During trials, we may perform limited setup for onboarding and configuration. Full services apply once billing begins. Promotions do not override these Terms unless stated in writing.
12) SMS & Messaging Terms (A2P / Carrier Compliance)
Opt-in: By opting in, you agree to receive SMS messages related to notifications, service updates, marketing (where permitted), account authentication (2FA), and support communications. Message frequency varies.
Rates: Message & data rates may apply.
Opt-out: Reply STOP to unsubscribe at any time.
Help: Reply HELP or contact us.
Delivery: Delivery is not guaranteed and may be delayed/filtered due to carrier/network/device factors.
Compliance: If we provide messaging tools, you agree not to use them for unlawful, misleading, harassing, or spam messaging and will comply with applicable privacy/telecommunications/marketing laws.
13) Third-Party Services
Our services may rely on third-party providers (e.g., hosting, CRM systems, analytics tools, email/SMS/voice carriers, advertising platforms, payment processors). You acknowledge third-party outages, policy changes, restrictions, or pricing changes may impact delivery, and we are not responsible for third-party downtime or actions outside our reasonable control.
14) Client Responsibilities
You agree to:
provide accurate business info, brand assets, and content (where required)
respond to approvals/questions in a reasonable timeframe
ensure you have rights to any logos/images/text you supply
comply with all laws applicable to your business and marketing
Delays in supplying required info can delay delivery timelines.
15) Testimonials & Results Disclaimer
Testimonials reflect individual experiences and are not a guarantee of results. Marketing outcomes depend on many factors (competition, budget, market conditions, offer strength, reviews, responsiveness, platform policies). We do not guarantee rankings, lead volume, revenue, or ad approvals.
16) Intellectual Property
All Website content, branding, templates, and materials are owned by or licensed to us and protected by intellectual property laws. You may not copy, reproduce, or distribute our materials without written permission.
Where custom deliverables are created for you, usage rights may be provided as agreed in writing; however, we retain rights to our underlying frameworks, templates, methods, and know-how.
17) Confidentiality
Both parties agree to keep confidential information private and only use it for service delivery, unless required by law.
18) Privacy
Our Privacy Policy explains how we collect and protect data. Please refer to our Privacy Policy on this Website.
19) Limitation of Liability
To the maximum extent permitted by law:
we are not liable for indirect or consequential loss (lost profits, lost leads, business interruption, reputational loss)
our total liability is limited to the amount you paid us in the preceding 30 days (or the minimum allowed by law)
we are not responsible for issues caused by third parties (carriers, Google, Meta, hosting providers, payment processors, etc.)
Nothing in these Terms excludes non-excludable rights under Australian Consumer Law.
20) Suspension / Termination
We may suspend or terminate services if payments are overdue, you breach these Terms, or your use creates risk (spam complaints, policy violations, unlawful activity). Amounts owed remain payable.
21) Changes to Terms
We may update these Terms by posting an updated version on the Website. Continued use of services means you accept the revised Terms.
22) Governing Law
These Terms are governed by the laws of Australia and the state/territory most closely connected to our business operations. You submit to the non-exclusive jurisdiction of the courts in that location.
